In these Terms:

AssignmentProperty.com is a technology and listing platform designed to help users discover, post, promote, and inquire about assignment property opportunities.

Unless clearly stated otherwise in writing, AssignmentProperty.com is not a real estate brokerage, law firm, accounting firm, mortgage brokerage, builder, developer, property manager, escrow service, or financial advisor.

We do not guarantee that any listing, property, assignment opportunity, price, incentive, deposit amount, closing date, occupancy date, floor plan, builder information, permission to assign, or related information is accurate, complete, available, current, or suitable for you.

Any real estate transaction, assignment transaction, or related negotiation is solely between the relevant parties, such as the assignor, assignee, seller, buyer, builder, developer, brokerage, lawyer, lender, or other professional.

The information on AssignmentProperty.com is provided for general informational and marketplace purposes only.

We do not provide legal advice, tax advice, accounting advice, mortgage advice, investment advice, or regulated real estate advice.

Before entering into any assignment agreement, agreement of purchase and sale, amendment, waiver, mortgage commitment, or related document, you should consult qualified professionals, including a real estate lawyer, accountant, mortgage broker, and registered real estate professional where appropriate.

Assignment sales may involve builder consent, assignment fees, legal fees, development charges, HST/GST, land transfer tax, financing conditions, occupancy costs, and other obligations. You are responsible for conducting your own due diligence.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account, submit a listing, contact a seller, contact a buyer, or use transactional features on the Platform.

By using the Platform, you represent that you have the legal authority and capacity to agree to these Terms.

Some features may require you to create an account. You agree to provide accurate, current, and complete information when creating or updating your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately if you suspect unauthorized access to your account.

We may suspend, restrict, or terminate your account if we believe you have violated these Terms, submitted false information, misused the Platform, harmed another user, or created legal, security, or reputational risk for AssignmentProperty.com.

If you submit, post, upload, or provide any listing, image, document, description, contact information, pricing detail, property information, or other content to the Platform, you represent and warrant that:

1. 1. The information is accurate, complete, current, and not misleading.
2. 2. You have the right and authority to submit the information.
3. 3. Your submission does not violate any agreement, law, regulation, professional rule, builder restriction, confidentiality obligation, intellectual property right, privacy right, or third-party right.
4. 4. If the listing involves an assignment, you have reviewed the applicable agreement of purchase and sale and understand whether assignment is permitted, restricted, or subject to consent.
5. 5. You will promptly update or remove the listing if the information changes, the property is no longer available, or the listing becomes inaccurate.
6. 6. You will not post fake listings, bait listings, duplicate listings, misleading prices, unavailable units, or listings designed only to collect leads without a genuine property opportunity.

We may review, edit, reject, remove, downgrade, pause, or disable any listing at any time, with or without notice.

We are not responsible for verifying every listing or user submission. Users must independently verify all information before relying on it.

Assignment Listings may involve special risks and requirements. By using the Platform in connection with an assignment opportunity, you acknowledge that:

1. 1. The original agreement of purchase and sale may restrict or prohibit assignment.
2. 2. Builder, developer, vendor, or seller consent may be required.
3. 3. Assignment fees, legal fees, administration fees, development charges, adjustment costs, occupancy fees, HST/GST, land transfer tax, or other costs may apply.
4. 4. The assignor may remain liable under the original agreement unless properly released.
5. 5. The assignee may assume obligations under the original agreement.
6. 6. Financing may be more complex for assignment transactions.
7. 7. Occupancy dates, final closing dates, floor plans, unit sizes, finishes, levies, and adjustments may change.
8. 8. Incentives, credits, caps, upgrades, parking, lockers, and deposits must be verified in the original documents.
9. 9. The assignment may require specialized legal review.

AssignmentProperty.com does not guarantee that any assignment can be completed, approved, financed, registered, closed, or transferred.

Real estate agents, brokers, brokerages, and other regulated professionals using the Platform are solely responsible for complying with all laws, regulations, professional standards, advertising rules, disclosure obligations, brokerage requirements, and client obligations that apply to them.

If a Real Estate Professional posts or promotes a listing on the Platform, they are responsible for ensuring that all required brokerage names, disclosures, permissions, approvals, consents, and identifying information are properly included.

AssignmentProperty.com is not responsible for a Real Estate Professional's compliance with regulatory obligations.

Users are responsible for their own due diligence before contacting another user, submitting an offer, signing a document, paying any deposit, sending funds, sharing personal information, or entering into a transaction.

You should verify, as applicable:

1. 1. The identity and authority of the person posting the listing.
2. 2. The original agreement of purchase and sale.
3. 3. Assignment rights and restrictions.
4. 4. Builder or developer consent requirements.
5. 5. Deposit amounts and proof of deposit.
6. 6. Floor plans, unit specifications, incentives, upgrades, parking, lockers, and occupancy details.
7. 7. Development charges, adjustment caps, closing costs, and occupancy fees.
8. 8. Tax consequences.
9. 9. Financing availability.
10. 10. The involvement and status of any brokerage, agent, lawyer, or other professional.

The Platform may allow users to contact listing owners, agents, sellers, buyers, or other users through forms, phone numbers, email links, messaging tools, or lead submission tools.

By submitting an inquiry, you consent to being contacted about the relevant listing or related real estate services by the recipient of your inquiry and, where applicable, by AssignmentProperty.com or its service providers.

You agree not to misuse contact forms, scrape contact information, spam users, harass users, send fraudulent inquiries, impersonate another person, or use leads for unauthorized purposes.

We may monitor, filter, block, or restrict communications for fraud prevention, security, quality control, compliance, or platform integrity.

AssignmentProperty.com may offer free listings, paid listings, featured placements, boosted listings, subscriptions, advertising packages, lead generation services, or other paid services.

All fees, billing terms, renewal terms, cancellation rules, and refund rules will be shown at the time of purchase or in a separate agreement.

Unless otherwise stated, fees are non-refundable once a listing, advertisement, boost, subscription, or paid service has started.

We may change our pricing, packages, and features at any time. Changes will not affect paid services already purchased for a fixed term unless stated in the applicable order terms.

Paid placement does not mean that we endorse, verify, guarantee, or recommend a listing, property, seller, buyer, agent, brokerage, builder, or developer.

The Platform may display or link to third-party information, services, maps, school data, transit information, neighbourhood information, mortgage tools, valuation tools, calculators, analytics, embedded content, payment processors, APIs, or external websites.

Third-party information is provided for convenience only and may be incomplete, delayed, inaccurate, or unavailable.

We do not control and are not responsible for third-party websites, services, data, policies, terms, or content.

You should independently verify all third-party information before relying on it.

The Platform may include property details, estimated values, nearby schools, nearby transit, nearby shopping, neighbourhood details, walking distance, commute estimates, maps, development information, market data, or other information.

This information is provided for general convenience and may be based on third-party sources, automated tools, public information, user submissions, or estimates.

We do not guarantee the accuracy, completeness, availability, zoning status, school boundary status, transit availability, travel time, market value, investment return, rental potential, future appreciation, or suitability of any property or neighbourhood information.

You agree not to:

1. 1. Violate any law, regulation, contract, professional rule, or third-party right.
2. 2. Post false, misleading, fraudulent, discriminatory, defamatory, obscene, or unlawful content.
3. 3. Post listings you are not authorized to post.
4. 4. Misrepresent your identity, role, licensing status, authority, brokerage relationship, or relationship to a property.
5. 5. Collect, scrape, harvest, sell, or misuse user data or listing data.
6. 6. Interfere with the security, performance, or operation of the Platform.
7. 7. Upload viruses, malware, harmful code, or automated scripts.
8. 8. Attempt to bypass access controls, rate limits, security measures, or account restrictions.
9. 9. Use the Platform to send spam, phishing messages, scams, or unauthorized marketing.
10. 10. Copy, reproduce, or commercially exploit the Platform without permission.
11. 11. Discriminate in housing-related activity contrary to applicable law.
12. 12. Use the Platform in a way that harms AssignmentProperty.com, its users, partners, or reputation.

You retain ownership of content you submit to the Platform, subject to the rights granted in these Terms.

By submitting content to the Platform, you grant AssignmentProperty.com a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, display, publish, distribute, modify, format, translate, promote, and create derivative works from your content for the purpose of operating, improving, marketing, and promoting the Platform and related services.

You represent that you have all rights necessary to grant this license.

The Platform, including its name, logo, design, layout, software, database, text, graphics, icons, features, branding, and original content, is owned by AssignmentProperty.com or its licensors and is protected by intellectual property laws.

You may not copy, modify, reproduce, distribute, sell, lease, reverse engineer, or create derivative works from the Platform without our written permission.

You may use the Platform only for lawful purposes and in accordance with these Terms.

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

By using the Platform, you consent to our collection and use of personal information as described in the Privacy Policy.

If you submit personal information about another person, you represent that you have the authority and consent required to do so.

We may update, modify, suspend, interrupt, restrict, or discontinue any part of the Platform at any time, with or without notice.

We do not guarantee that the Platform will be uninterrupted, secure, error-free, accurate, current, or available at all times.

We are not responsible for downtime, lost data, delayed messages, failed inquiries, unavailable listings, technical issues, or third-party service failures.

We may suspend, restrict, or terminate your access to the Platform at any time if we believe that:

1. 1. You violated these Terms.
2. 2. You submitted false or misleading information.
3. 3. You created risk for other users or the Platform.
4. 4. You misused listings, leads, forms, communications, or data.
5. 5. Your conduct may expose AssignmentProperty.com to legal, regulatory, financial, security, or reputational risk.

You may stop using the Platform at any time.

Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnity, disputes, and governing law.

We may update these Terms from time to time.

When we make material changes, we may notify users by posting the updated Terms on the Platform, changing the "Last Updated" date, sending an email, or providing another notice.

Your continued use of the Platform after updated Terms are posted means you accept the updated Terms.

These Terms and any dispute arising from or relating to the Platform will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Before starting a legal claim, you agree to first contact us and attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, the dispute will be handled by the courts located in Ontario, Canada, unless applicable law requires otherwise.

Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief where appropriate.
